These Terms & Conditions (“Terms”) govern access to and use of the Vaulted Sports Collective website, live-streamed break services, VSC Credits, Founders Program, and related offerings (collectively, the “Services”).

Vaulted Sports Collective LLC (“VSC,” “we,” “us,” or “our”) operates the Services. By accessing, purchasing, or participating in any VSC Services, you agree to be bound by these Terms.

VSC Credits

Nature of VSC Credits

VSC Credits are promotional store credits issued through VSC’s platform and may be applied toward eligible purchases on the Vaulted Sports Collective website, including live break entries and other qualifying products.

VSC Credits:

  • Are not currency
  • Have no cash value
  • Are not redeemable for cash or refunds
  • May not be sold, transferred, or exchanged unless explicitly approved in writing by VSC
  • VSC Credits do not represent deposited funds, stored value accounts, or custodial balances.

VSC Credits are issued to a specific customer account and are non-transferable. VSC is not responsible for unauthorized use of credit codes once issued.

Availability & Activation

 

For Founders Program participants, certain benefits — including Break Discounts, priority access windows, and installment-based credit distributions — begin on the designated Activation Date.

“Activation Date” means the date determined by VSC following the close of the applicable Enrollment Period upon which Founder benefits officially commence. The Activation Date will be communicated to enrolled Founders in advance.

Issuance of VSC Credits does not, by itself, constitute Activation of Founder benefits.

VSC Credits may not be redeemable during any pilot or pre-launch period unless explicitly stated otherwise in writing by VSC.

Pilot Period Disclosure

Prior to go-live, VSC may host pilot or promotional live breaks offered at no cost to participants. These events are intended to test workflows, introduce the platform experience, and build early community engagement.

During the pilot period:

  • Participation is free
  • VSC Credits are not required
  • No VSC Credits are earned, issued, or implied

Pilot participation does not establish future balances, guarantees, or rights.

Pilot Promotions & Free Entry Limitations

During the pilot or pre-launch period, VSC may offer promotional or complimentary break participation opportunities that require registration, email signup, or promotional code redemption through the VSC website.

Participation in pilot promotions is subject to the following conditions:

  • Promotional codes are issued individually and may be redeemed only once
  • Limit one (1) promotional redemption per household, as determined by shipping address
  • Participation requires a valid customer account and email address
  • Promotional codes may not be transferred, resold, or reused
  • VSC reserves the right to deny, revoke, or cancel participation if abuse, duplication, or circumvention is suspected

Pilot promotions are offered for testing, community building, and platform validation purposes only and do not create entitlement to future participation, pricing, or benefits once paid operations commence.

VSC may modify, pause, or discontinue pilot promotions at any time without notice.

Redemption & Usage

VSC Credits may be redeemed for eligible purchases, including live break entries and other qualifying products, as determined by VSC.

To preserve fair access and platform stability, VSC may implement reasonable usage limitations, including:

  • Limits on the percentage of a break that may be filled using VSC Credits
  • Limits on the number of credit-based entries within a defined time period
  • Activation timing or phased issuance

Such measures are applied in good faith to maintain sustainable operations and equitable participation.

VSC Credit Usage Guidelines

VSC Credits are intended to promote broad participation across the Founder community.

As part of this intent, Founders are generally expected to apply VSC Credits toward no more than one (1) entry per individual Break Product offering.

VSC recognizes that platform mechanics may not automatically restrict multiple credit applications within a single break. Accordingly, VSC reserves the right, in its sole discretion, to review credit usage patterns and address activity that appears inconsistent with the intended purpose of the Founders Program.

In such cases, VSC may take corrective action, including:

  • Refunding VSC Credits to the Founder’s wallet
  • Adjusting or canceling affected break entries
  • Providing notice and requesting future compliance
  • Limiting or modifying future credit application

Repeated disregard of program guidelines may result in suspension or revocation of Founder benefits.

Modifications & Platform Discretion

VSC reserves the right to modify break formats, pricing structures, scheduling, or redemption mechanics. Any modifications will be implemented in good faith and in a manner that honors valid VSC Credits fairly.

Live breaks are subject to platform availability, product supply, and third-party service constraints beyond VSC’s control.

VSC Credit Expiration

VSC Credits expire five (5) years from the date of issuance unless otherwise specified in writing.

Expiration is calculated individually based on each credit issuance date.

If VSC permanently ceases offering live break services and no materially equivalent successor service exists, unused VSC Credits will become void.

In the event of an acquisition or sale of substantially all assets, valid unexpired VSC Credits will remain redeemable under a successor entity offering equivalent services, unless otherwise required by applicable law.

Expiration terms are intended to comply with applicable consumer protection regulations.

Founders Program 

Program Overview

The Vaulted Sports Collective Founders Program is a limited-time early supporter initiative designed to support the launch and structured growth of VSC’s live break operations.

The Founders Program:

  • Opens for a fixed thirty (30) day enrollment window
  • Makes all tiers available simultaneously
  • Closes permanently at the end of the 30-day window
  • Does not publicly display remaining seat counts

Enrollment urgency is time-based only.

Each tier has a defined population limit, including a maximum of ten (10) Lifetime Founder memberships. Population limits are enforced internally to preserve program integrity. Enrollment is subject to availability during the 30-day window.

Once the enrollment window closes, the program will not reopen in the same form.

VSC Credit Issuance By Tier

VSC Credit issuance is structured as follows:

Community Backer:

  • The full allocated VSC Credit amount is generally issued within seventy-two (72) hours of confirmed purchase.

Early Supporter:

  • The full allocated VSC Credit amount is generally issued within seventy-two (72) hours of confirmed purchase.

Charter Founder:

  • Fifty percent (50%) of the allocated VSC Credit amount is generally issued within seventy-two (72) hours of confirmed purchase.
  • The remaining fifty percent (50%) is issued ninety (90) days following the Activation Date.

Lifetime Founder:

 

  • The remaining fifty percent (50%) is issued ninety (90) days following the Activation Date.

Issuance timing may vary slightly due to administrative processing. VSC reserves the right to correct clerical or administrative errors in credit issuance.

Second-installment credits are contingent upon the Founder account remaining active and in good standing. In cases of payment reversal, chargeback, fraud, abuse, or violation of these Terms, VSC reserves the right to cancel or withhold scheduled credit installments and to adjust or revoke previously issued VSC Credits where appropriate.

 

This structured issuance model exists to promote sustainable break pacing, operational stability, and fair access across the community.

Break Start Timing

Breaks funded through the Founders Program are expected to begin approximately thirty (30) days following the close of enrollment, subject to product availability and operational readiness.

Founders participation fees are non-refundable and are not contingent upon specific break dates, product releases, or market conditions.

Founders Benefits & Perks

 

Founder benefits may include VSC Credits, priority access, percentage-based discounts, exclusive participation opportunities, or other tier-specific perks as disclosed at the time of enrollment.

All Founder benefits begin on the Activation Date unless otherwise specified.

Lifetime benefits, where applicable, refer to the operational lifetime of the Founders Program while VSC continues offering live break services or a materially equivalent successor service. “Lifetime” does not refer to the lifetime of any individual participant.

VSC reserves the right to reasonably modify benefit structures for operational or sustainability purposes, provided that the overall spirit and relative value of the applicable tier are preserved.

Founder benefits are subject to suspension or revocation in cases of payment reversal, fraud, abuse, or violation of these Terms.

 

Payment Reversal & Revocation of Benefits

If any payment associated with VSC Credits, break participation, or Founders Program enrollment is disputed, reversed, refunded through a chargeback, or otherwise invalidated for any reason, VSC reserves the right, in its sole discretion, to:

  • Revoke Founder status
  • Cancel associated benefits, including Break Discounts and priority access
  • Cancel or withhold any scheduled credit installments
  • Adjust, suspend, or revoke previously issued VSC Credits
  • Cancel affected break entries

These remedies may be exercised immediately and without prior notice in cases of suspected fraud or payment abuse.

Use of VSC Credits or participation in break events prior to a payment dispute does not limit VSC’s right to enforce these Terms.

Participation, Risk & Randomization

Participation in live breaks is subject to the format and structure of each event.

VSC:

  • Does not guarantee specific cards, teams, players, or outcomes
  • Makes no representations regarding resale value
  • Does not provide investment advice

Live card breaks involve randomized distribution and inherent variability. Participation is for entertainment and collecting purposes only.

By completing a purchase, participants reserve a spot in a scheduled break. Reservation of a spot removes marketplace availability and constitutes fulfillment of purchased access, regardless of when the break is conducted.

Pick-Your-Team (PYT) Pricing Disclosure

Certain breaks may offer Pick-Your-Team (“PYT”) formats.

PYT pricing may consider:

  • Historical product data
  • Checklist structure
  • Observed distribution trends
  • Relative collector demand

Pricing reflects structured estimates and modeling, not guaranteed outcomes.

Methodologies may evolve over time and will be applied consistently and in good faith.

Non-Investment Disclosure

Participation in breaks or the Founders Program:

  • Does not constitute an investment
  • Does not provide equity, ownership, profit sharing, or revenue participation
  • Does not guarantee financial returns

No purchase should be made with the expectation of profit.

Refunds & Cancellations

All purchases, including break entries and Founders Program enrollments, are final and non-refundable except where required by applicable law.

If an order paid in whole or in part using VSC Credits is refunded in accordance with applicable policies or legal requirements, the corresponding VSC Credit amount will be restored to the customer’s wallet in accordance with platform functionality. Restored credits retain their original expiration date unless otherwise required by system mechanics.

Founders Program enrollment fees are non-refundable and are not contingent upon specific break dates, product releases, or market conditions.

VSC reserves the right to refuse or cancel orders in cases of suspected fraud, abuse, pricing error, or violation of these Terms.

Fair Use, Conduct & Enforcement

VSC reserves the right to suspend or revoke access or benefits in cases of:

  • Fraud
  • Abuse of platform mechanics
  • Violation of community standards

Unused VSC Credits may be forfeited in cases of suspension for cause.

No Warranties

All Services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.

Force Majeure

VSC is not liable for delays or failures due to events beyond its reasonable control, including supply disruptions or platform outages.

Program Evolution

As VSC grows, break formats, scheduling structures, and operational models may evolve.

VSC reserves the right to make reasonable updates to its Services for operational, sustainability, or compliance purposes. Such updates will be implemented in good faith and will not retroactively eliminate valid, unexpired VSC Credits or materially diminish active Founder benefits, except where required by law or in cases of fraud, abuse, or violation of these Terms.

Informational or marketing content does not supersede these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict-of-law principles.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Updates to These Terms

VSC may update these Terms from time to time. Continued use of the Services following any updates constitutes acceptance of the revised Terms.
